How to change Estonian Company board membership

STEP 1. - Shareholders Decision

To change board membership in the Business Registry, a Shareholders’ Decision must first be made and signed in the form of General Meeting Minutes.

STEP 2. - Filing amendments in Business Registry

Based on the Shareholders’ decision, the newly elected board member(s) must submit the Business Registry application to file these changes.

  • Both documents must be either digitally signed or notary certified. If the papers are notary certified abroad, they must be (in many countries) apostilled and later translated into Estonian, including the notary text.

  • A state fee of 25 EUR applies when the application is submitted to the Business Registry.

  • If everything is correct, the amendments will be filed usually in 1 week.

  • The documents submitted to the Business Registry must be correct in every detail. Even seemingly unimportant details might cause the registry officials to reject them.
