Does the standard liquidation process also apply to the liquidation of a non-active Estonian company (OÜ)?

Deletion of inactive Estonian company (OÜ) from the Bisiness Register is carried out in a simplified manner and does not require the completion of a standard and lengthy liquidation process. Inactive company means that, after being entered in the register, it has not made any transactions or transfers, it has no assets, no liabilities and no employees.

Within the framework of the simplified procedure, there is no requirement to submit financial year reports and liquidation balance sheet, nor is it necessary to appoint a liquidator for the company.

To delete a private company from the register in a simplified manner, all shareholders and board members of the company must sign an application to the Business Register and confirm that the company has not started economic activity.

The application can be submitted digitally through the e-business register portal (https://abiinfo.rik.ee/en) or through an Estonian notary public.

After receiving a correctly signed application, the Business Register makes a corresponding announcement in the official publication “Ametlikud Teadaanded” (https://www.ametlikudteadaanded.ee/) and deletes the company from the register after 3 months.
