Qualified Electronic Signature


Only documents signed at the level of “Qualified Electronic Signature” (QES) can be used for registry amendment purposes in Estonia.

You don’t need to be an Estonian resident or e-resident ID cardholder to manage your Estonian company and sign documents digitally.

More than 50 international Trusted Service Providers are qualified to issue QES.

If documents are signed digitally in accordance with the eIDAS Regulation (EU) No 910/2014 and the signature meets the “Qualified Electronic Signature” security level, the Estonian Business Register must accept them for Estonian company registry amendments.

Usually the Trusted Service Provider takes care of all technical details, but for those, who need deeper understanding the technically important detail is as follows:

The digital signature of the signed document must definitely contain the notation flag "Qualifier QCForESig" in the "Qualifications" block. Without this notation flag, all validation software will treat this signature as non-qualified, and it will not be suitable for use in Estonia.

Possible Registry Amendments


With digitally signed documents (corresponding requirements above), you can file almost all Estonian company registry amendments, for example:

  • Change of the shareholders

  • Change of the board members

  • Change of the business name

  • Change of the registration address

  • Change of email address

  • Increase and decrease of the share capital

  • Approving and filing new articles of association

  • Company liquidation (standard and simplified)

  • Restoring your deleted company

How it works


To file registry amendments, in most cases, you need to digitally sign:

  • Shareholders’ decision.

  • Application for filing registry amendments.

Upon your request, we:

  1. Evaluate what documents are needed to file planned registry amendments.

  2. Provide you with a cost estimate.

  3. Prepare the required document(s) (EST/ENG) for signing.

  4. Send you the URL link to each document to be signed digitally in the dedicated portal.

  5. Once documents are signed, they can be submitted to the registry.

Timeframe


The preparation work can usually be done in a few days or weeks, depending on the complexity of the task.

The Estonian Business Register must process amendments or send you a ruling regarding any issues. within five working days of submitting the application.

Costs


Depending on the task, the service cost is usually 200 - 600 EUR.


Tutorial for digital signing

Those who can’t sign with an Estonian/Latvian/Lithuanian digital signature can use an ADACOM one-shot digital signature. It usually takes just a few minutes to be identified and get the QES.

For documents prepared by us, we use the 1DOX digital signing portal, which is intuitive and easy to use.
