
Estonian Company Share transfer
with Remote Authentication
via Notary video bridge
Required information and documents
Copies of Seller's and Buyer's passports, residential addresses, and working email addresses.
Business name of the company whose share is being transferred.
Size of the share being transferred (nominal value).
Sale price in euros and payment terms (paid before transaction/to be paid within a certain period).
Seller's confirmation whether the share belongs to spouses' joint property/or the seller is not married/or a marriage contract applies under which the share being sold is the spouses' separate property.
If the seller is married and the share being transferred is spouses' joint property, then spouse's data and marriage certificate must also be submitted, and the spouse must participate in the transaction. If the spouse cannot participate in the transaction, a notarially certified power of attorney (with apostille) must be submitted.
Completed AML questionnaires (forms provided by the notary). Both Seller and Buyer fill out the questionnaires separately.
Once all required data has been submitted to the notary, the transaction time is agreed upon with the notary according to Estonian local time.
Technical requirements
When accessing the Notaries Chamber self-service portal at https://www.notar.ee/en, you must choose from the following browsers: Google Chrome or Microsoft Edge, which must have ID-card functionality installed and enabled (NB! Internet Explorer, Firefox, and Safari are not supported).
The self-service portal can be accessed with a desktop or laptop computer that has a webcam and audio functionality (sound and microphone), all of which must be turned on. You must also ensure that the computer's time zone is correctly configured.
To establish a stable connection for remote authentication transactions, a cable internet connection must be used, with a recommended internet speed of 30Mbit/s and 15Mbit/s for upload. During remote authentication with video bridge, the computer must not be in a network restricted by firewall (the remote authentication video server irbis.rik.ee (213.184.54.164) must be accessible on TCP and UDP ports 1024-65535 in both directions). When using a firewall, the corresponding connections must be allowed in the firewall.
A remote authentication readiness test can be conducted in Notaries Chamber self-service at https://www.notar.ee/en, which provides an answer to whether the computer and network are correctly configured to participate in remote authentication. To conduct the test, you don't need to have any upcoming and agreed notary transaction yet, and the test can be done at a time convenient for you.
For verification, you should log into Notaries Chamber self-service at https://www.notar.ee/en and click the "Remote authentication readiness test" button on the front page.
Remote authentication process:
24 hours before the agreed transaction start time, you can log into the Notaries Chamber self-service portal at https://www.notar.ee/en with your ID card.
24 hours before the start of the remote authentication transaction, a notice "Digital authentication transaction start time is approaching" appears under "My transactions."
Before the transaction starts, the user can confirm to the notary that they are ready for remote authentication by pressing the button "I confirm that I am ready for digital authentication" (this option appears approximately 15 minutes before the agreed transaction start time).
This is followed by technical identity verification using Veriff, during which you must take a photo of yourself and your ID card with the webcam (the card must be removed from the reader).
At the time agreed with the contracting parties, the notary initiates the procedure via video bridge. Through the video bridge, the notary introduces the participants to the transaction being authenticated, and participants can also communicate with the notary and ask questions.
To review the transaction data, the contract is displayed on the contracting parties' screens instead of the notary's video image, allowing them to familiarize themselves with its content.
After reviewing the contract, the notary sends it to the participants for signing.
To sign the contract, you must press the "Sign" button and then add your signature”.
After all participants have signed the contract, the notary also signs it, ending the remote authentication process, and the document becomes available to participants through the self-service portal.
State fees must also be paid, for which the notary sends the necessary payment details.
