Restoration of a deleted Estonian company (OÜ) in the Business Register
From February 1, 2023, it is possible to restore a deleted Private Limited Company (OÜ) to the Business Register in a simplified manner and continue business activities, but only if it has been deleted due to 2 reasons:
1. Failure to submit a financial year report(s) to the Business Register.
2. No required contact person registered in the Business Register.*
The aim is to force the companies to comply with the obligation to report and provide data while allowing those who really want to continue to operate. Within 3 (three) years from the deletion, it is possible to restore the company to the register again if the missing data is provided.
Necessary actions to restore the company to the register:
Sign the shareholders' decision on the continuation of the company’s activities and to eliminate all deficiencies. If the reason for deletion from the register was the failure to submit annual reports, the shareholders must also confirm the missing annual reports with their decision. Annual reports and shareholders' decision are attached to the application submitted to the Business Register.
Apply for restoration to the register in the e-Business Register portal or through an Estonian notary and sign an application digitally or notarized. If the reason for deletion from the register was the absence of a contact person, the board member who submits the application must also enter the contact person's data in the register and add digitally signed or notarized consent of the contact person.
Pay a state fee of 200 euros.
* It is important to note that the contact person must be appointed only if the company's address is outside Estonia. If the company has an address in Estonia entered in the Business Register, it is not necessary to appoint a contact person.
